Vantiva: Briarwood Chase diluted to less than 15% of capital

(CercleFinance.com) - The American investment fund Briarwood Chase Management has fallen below the thresholds of 20% and 15% of Vantiva's capital and voting rights following the capital increase carried out by the group, according to a notice from the Autorité des marchés financiers (AMF) published on Thursday.


The AMF states that the Delaware-based fund held 14.80% of the capital and voting rights as of January 9.

Briarwood Chase Management also informed the AMF that it held 1.04 million warrants (BSA) exercisable until September 22, 2024, knowing that five BSA can entitle it to subscribe to 10.5 new Vantiva shares at a unit price of 1.365 euros, i.e. a maximum of 2.18 million shares.

The fund also holds 16.93 million Vantiva shares through equity swaps on 2.35 million shares expiring on October 7, 2028, and 14.58 million shares expiring on October 9, 2028.
