Neoen: proposed public stock buyback tender offer filed with the AMF
(CercleFinance.com) - BNP Paribas and Société Générale, acting on behalf of SAS Brookfield Renewable Holdings, have filed a proposed simplified tender offer (OPAS) with the AMF followed, if appropriate, by a squeeze-out for Neoen shares.
The offeror currently holds, directly and indirectly, alone and in concert, 82,250,985 Neoen shares, i.e. 53.81% of the capital and voting rights, but no bonds convertible and/or exchangeable into new or existing shares (océane).
As part of the proposed public exchange offer announced on 30 May, it has irrevocably undertaken to acquire all the shares, as well as the 2020 and 2022 convertible bonds he does not hold, at prices of E39.85, E48.14 and E101,382 respectively.
