Atos: receives non-binding offer from French State
(CercleFinance.com) - Atos announces that it has received a non-binding offer from the French State for the potential acquisition of 100% of the Advanced Computing activities of its BDS division.
This acquisition has an enterprise value of E500m, which could potentially be increased to E625m, including earn-outs.
Atos' Advanced Computing activities comprise the High-Performance Computing (HPC) & Quantum divisions, as well as the Business Computing & Artificial intelligence divisions. The business currently employs around 2,500 people and generated sales of around E570m in 2023.
The offer received from the French State provides for a period of exclusivity until 31 May 2025.
A binding Share Purchase Agreement could be concluded until this date. An initial payment of E150m is to be made to Atos upon signature of the Share Purchase Agreement.
Atos would undertake to launch an organized disposal process for its Cybersecurity Products and Mission Critical Systems businesses, which generated sales of around E340m in 2023.
