Esker: proposed takeover bid filed with AMF

(CercleFinance.com) - Morgan Stanley Europe and Société Générale, acting on behalf of SAS Boréal Bidco, have filed with the AMF a proposed public tender offer for Esker shares, which was announced on September 19.


The offeror irrevocably undertakes to acquire a maximum of 5,615,743 shares at a price of 262 euros per share. The offer will lapse if, at closing, it does not hold, alone or in concert, a fraction of the capital or voting rights exceeding 50%.

He intends to request, after the publication of the result of the tender offer or, as the case may be, the closing of the reopened offer, and if the required conditions are met, the implementation of a squeeze-out for the Esker shares not tendered to the offer.
