Eurobio-Scientific: proposed takeover bid filed with AMF

(CercleFinance.com) - Banque Degroof Petercam and Crédit Industriel et Commercial, acting on behalf of EB Development, have filed with the AMF a proposed takeover bid for Eurobio-Scientific shares, announced on July 31.


The bidder irrevocably undertakes to acquire all the existing shares not held by its concert party (excluding treasury shares), i.e. 6,538,582 shares, representing 63.80% of the share capital and voting rights, at a unit price of 25.30 euros.

It intends to request, if the required conditions are met, the implementation of a squeeze-out procedure. In this event, an additional price of 1.25 euro per share will be paid to holders of shares having tendered their shares to the offer.
