Berkem: independent expert appointed for proposed public stock buyback tender offer

(CercleFinance.com) - The Berkem Group announces the appointment of Paper Audit & Conseil, represented by Xavier Paper, as independent expert to draw up a report on the financial terms of the proposed simplified compulsory buyout offer (OPAS).


Kenerzeo is due to file this proposed simplified takeover bid, which would be followed by a squeeze-out if the conditions are met, before the end of September, and will target outstanding Berkem Group shares not held by Kenerzeo.

After considering the independent expert's report, the Board of Directors will be asked to give its reasoned opinion on the merits of the simplified takeover bid and its consequences for the plant-based chemicals company, its shareholders and employees.
