NHOA: TCC Holdings increases its offer price

(CercleFinance.com) - Having taken note of the reservations concerning the fairness of its proposed price of 1.
10 euros per NHOA share in cash, the Board of Directors of TCC Holdings approved on August 20 an increase in this price to 1.25 euros.

TCC Holdings points out that this new increased price reflects a 114% premium over the last closing price on June 12, prior to the announcement of its takeover bid, as well as an 82% premium over the volume-weighted average price for the 180 trading days prior to that date.

An updated draft offer document will be filed with the AMF before mid-September, and the timetable for the takeover bid will be adapted. Discussions with the ad hoc committee of NHOA's Board of Directors and its advisors will resume on this basis.
