Nokia: definitive agreement to acquire Infinera

Infinera shareholders will be able to elect to receive up to 30% of the total consideration in the form of Nokia ADSs, with the Nokia Board committing to increase and accelerate its ongoing share buyback program to mitigate any dilution.
The deal is expected to strengthen the Finnish network equipment supplier's technology leadership in optical, and increase its exposure to web-scale customers, the fastest growing segment of the market.
It is expected to be accretive to Nokia's comparable EPS in the first year after completion, expected in H1 2025, subject to approval by Infinera shareholders and various regulatory authorities.
