MetEx: takeover offer received from the Avril group

(CercleFinance.com) - Metabolic Explorer announced last night that it had received a takeover offer from the agroindustrial group Avril for the activities of its MetEx Noovistago industrial unit, as well as for part of its commercial and R&D activities.


This offer, supported by the French government via Bpifrance, the Hauts-de-France Region and Amiens Métropole, concerns 304 jobs, the green chemicals company said in a press release.

Avril's offer is certainly good news", commented Rudolph Hidalgo, the company's deputy CEO.

"We remain mobilized, as we need to work on resolving conditions precedent with all stakeholders", he added.

The decision of the Paris Commercial Court is expected on June 11.

Regarding the offer by MAASH to take over the MetEx Noovista plant, and the conversion of the receivership proceedings into compulsory liquidation, the court's decision is expected on June 25.

MetEx points out that, in view of the amount of the Group's liabilities, the proceeds from the sale of its activities will not enable a payment to be made to the shareholder, since once their activities have been sold to the buyer, each of the subsidiaries will have to be judicially liquidated.

Under these conditions, Metabolic Explorer's listing on the Paris Bourse remained suspended on Tuesday.
