Vinci: to make joint tender offer for SMTPC with Eiffage

3% and 32.9% of its capital and voting rights, have announced that they have entered into negotiations with a view to filing a simplified tender offer, followed by a squeeze-out, for the shares of Société Marseillaise du Tunnel Prado Carénage (SMTPC).
In particular this agreement provides for this concert's acquisition of SMTPC's remaining capital. Its implementation will be subject to authorisations from the competent competition authorities, and will take place after consultation with employee representative bodies.
The proposed joint public offer that Vinci Concessions and Eiffage intend to file would be denominated at a price of 23 euros per SMTPC share (cum dividend), a price representing a premium of 30.3% over its previous closing price.
