Novo Nordisk: acquires US group Emisphere
(CercleFinance.com) - On Friday Novo Nordisk announced the acquisition of Emisphere Technologies, a US specialist in oral pharmaceutical formulation technologies.
The Danish group, the world leader in the treatment of diabetes, says that it has been collaborating with Emisphere since 2007 - particularly in the manufacture of semaglutide, its new therapeutic option for type 2 diabetic patients.
Under the agreement, Novo will pay 1.35 billion dollars to acquire all of Emisphere's shares.
The agreement also provides for the receipt of royalties to be paid to MHR Fund Management, which until now was Emisphere's main shareholder, bringing the total price of the deal to 1.8 billion dollars.
Novo Nordisk will also acquire related royalty stream obligations owed to MHR Fund Management, Emisphere's largest shareholder, for 450 million dollars: therefore, the total acquisition price is 1.8 billion dollars.
