Vivendi: demerger plan approved by over 97.5% of votes cast

(CercleFinance.com) - Vivendi's Combined General Shareholders' Meeting, chaired by Yannick Bolloré, approved by over 97.
5% of votes cast the proposed demerger of Canal+, Havas and Louis Hachette Group (which will combine its 66.53% stake in Lagardère and 100% of Prisma Media).

As announced, the first day of trading for these three companies will therefore be December 16, on the London Stock Exchange, Euronext Amsterdam and Euronext Growth Paris respectively.

With a quorum of 71.96% of shareholders present or represented, the two extraordinary resolutions concerning partial asset contributions subject to the French partial demerger regime were adopted by a very large majority, with 97.57% of votes cast for Canal+ and 97.58% for Louis Hachette Group.

The resolution concerning the distribution in kind of Havas NV shares to Vivendi shareholders, submitted on an ordinary basis, was approved by 97.61% of votes.

December 13 (inclusive) will be the deadline by which investors wishing to participate in the demerger must have acquired Vivendi shares.
