Saint-Gobain: agreement to acquire Ovniver Group
(CercleFinance.com) - Saint-Gobain announces a definitive agreement to acquire Ovniver Group, a leading unlisted player in construction chemicals in Mexico and Central America, for $815m (about E740m) in cash.
This new strategic step in the establishment of Saint-Gobain's global presence in construction chemicals will bring its total post-acquisition sales in this sector to E6.5bn in 76 countries (pro forma).
With 16 production plants and around 1,000 employees, Ovniver should generate sales of $285m in 2024, with growth of around 20% p.a. over the last five years, and achieve an estimated EBITDA margin of 21.7%.
The acquisition will be financed entirely from Saint-Gobain's available cash. The transaction is subject to the satisfaction of customary conditions and is expected to close in H1 2025.
