Novo Nordisk: in exclusive negotiations with BIO JAG
(CercleFinance.com) - Novo Nordisk has entered into exclusive negotiations with BIO JAG, BIOCORP's main shareholder, with a view to purchasing its entire stake in BIOCORP, representing 45.
3% of BIOCORP's share capital and 62.19% of its voting rights, at a price of E35 per share.
Certain minority shareholders, representing 19% of BIOCORP's share capital and 13.07% of its voting rights, have undertaken to transfer their shares to Novo Nordisk upon completion of Novo Nordisk's acquisition of the controlling block.
The proposed transaction will then be followed by Novo Nordisk's filing of a mandatory simplified tender offer for the remaining outstanding BIOCORP shares and, if the legal conditions are met at the end of the offer, a squeeze-out procedure and the delisting of BIOCORP from Euronext Growth.
