Gemalto: offer from Thales declared unconditional

(CercleFinance.com) - Thales has said that its unconditional offer on Gemalto, with all conditions precedent having been met or waived.

At the end of the acceptance period, 85.58% of Gemalto shares were tendered to the offer.

The settlement-delivery of shares tendered to the offer will occur on 2 April. The remaining shares may be tendered during the period when the offer is reopened, which will begin on 1 April and will expire on 15 April.

If, after this reopening period, Thales holds at least 95% of Gemalto's issued share capital, it intends to initiate a squeeze-out procedure. Gemalto will be consolidated in Thales' financial statements as from 1 April.
