Edenred: towards board shake-up

(CercleFinance.com) - The corporate services and "tickets restaurants" company Edenred announces that Sylvia Coutinho and Françoise Gri will be proposed for re-election to the Board of Directors for a four-year term at its AGM on 11 May.


Angeles Garcia-Poveda, Monica Mondardini and Philippe Vallée will also be proposed for appointment for a four-year term.

The search process for candidates was launched on the basis of experience, skills and individual expertise, and the Board has also ensured that it maintains a balanced composition, both in terms of gender and international experience, Edenred said.

Anne Bouverot, a member of the Commitments Committee, has been an independent director since 2010 and her term of office will expire at the Annual General Meeting on 11 May 2021. She has said that she does not wish to renew her mandate.

If these resolutions are adopted, the Board of Directors will have 14 members, including two directors representing employees. It will include five women appointed by the General Assembly (i.e. 41.6% of its members appointed by the shareholders), with independent directors representing over 91% (11/12) according to the calculation method of the AFEP-MEDEF Code, which excludes directors representing the employees.
