Renault: on track in talks with Nissan

(CercleFinance.com) - Renault Group has announced that it has made progress in its discussions with Nissan Motor on the definition of new bases for their partnership: agreements are being finalised for a transaction that will remain subject to the approval of their boards of directors.

Both companies are considering value-creating operational projects and new initiatives to strengthen their strategic agility, including a possible investment by Nissan in Ampere, a pure player in electric vehicles and software founded by Renault.

The car makers would retain a 15% cross-shareholding, with retention and cap obligations. They would both be able to freely exercise the voting rights attached to their direct 15% stake, with a 15% cap.

Renault would transfer 28.4% of its Nissan shares into a French trust, where voting rights would be "neutralised" for most decisions, but where it would still have full financial rights until the shares are sold.
