Wendel: about to acquire Scalian

(CercleFinance.com) - Wendel announces that it has entered into exclusive negotiations with a view to acquiring the Scalian group, ranked in the Top 10 engineering consulting companies in France, for an enterprise value of 965 million euros.


Operating in industrial project management activities, Scalian expects sales of approximately 510 million euros and an adjusted EBITDA of approximately 74 million euros over FY to June 2023, with a workforce of approximately 5,000.

As part of this transaction, Wendel would invest approximately 550 million euros in equity alongside the management team and would hold a large majority stake in the company's capital.

Subject to compliance with the ongoing process and satisfaction of usual conditions for completion, including obtaining regulatory authorizations, this transaction is expected to be closed in H2 2023.
