Unilever: unification of legal structure

(CercleFinance.com) - Unilever has announced a plan to unify its legal structure under a single parent company, Unilever PLC, "creating a simpler company with greater strategic flexibility, that is better positioned for future success".


Note that the agri-food and hygiene product group has a “dual-nationality” - both British (PLC) and Dutch (NV) and is therefore split into two distinct legal entities that are listed separately in London and Amsterdam.

Under the plan, shareholders of Unilever NV will receive one new PLC share for each NV share held, thus resulting in the absorption of Unilever NV by Unilever PLC, a single entity that will remain registered in the UK.
