Sanofi: end of HSR period for Principia
(CercleFinance.com) - Sanofi has announced the end of the waiting period required by the Hart-Scott-Rodino (HSR) Antitrust Law applicable to the planned acquisition of Principia Biopharma, which fulfils a condition of the takeover bid which Sanofi launched on this company on 28 August.
The offer's completion remains subject to several conditions, including the provision of at least the majority of ordinary shares in issue immediately before the expiry of the offer and other usual conditions.
The offer, at a price of 100 dollars per share, will expire one minute after 11.59, New York time on Friday, 25 September, unless it is extended in accordance with the provisions of the merger agreement and the SEC's applicable rules.
