Credit Suisse: acquisition by UBS complete by 12 June
(CercleFinance.com) - Credit Suisse and UBS have announced that they expect the acquisition announced on 19 March 2023 to close on 12 June 2023.
Upon completion of the acquisition, UBS will be the single entity and the Credit Suisse shares and American Depositary Shares (ADSs) will be delisted from the SIX Swiss Exchange (SIX) and the New York Stock Exchange (NYSE), respectively.
If the acquisition is completed prior to the opening of markets in the United States on 12 June 2023, the delisting from the NYSE will occur on 12 June 2023 and the delisting from the SIX will occur on 13 June 2023. If the acquisition is completed after the US market opens on 12 June 2023, delisting from the NYSE and SIX will occur on 13 June 2023.
Completion of the acquisition is subject to the declaration of effectiveness of UBS' registration statement covering the shares to be delivered to Credit Suisse shareholders by the Securities and Exchange Commission and the satisfaction or waiver, by UBS of the remaining closing conditions, the group said.
