Ingenico: Worldline to acquire company

(CercleFinance.com) - Worldline and Ingenico have announced reaching an agreement, by which Worldline will launch a tender offer on all of Ingenico's shares; 81% of which will be in shares and 19% in cash, based on the last price, and on OCEANEs (bonds convertibla into new or existing shares) that are in issue.


The transaction would create the fourth largest payment services player in the world with around 20,000 employees in 50 countries, thereby providing services to nearly a million merchants and 1,200 financial institutions.

Under the agreed terms, Ingenico's shareholders would receive 11 Worldline shares and 160.5 euros in cash, for seven Ingenico shares. After the deal, Ingenico's shareholders will have 35% of the new combined group.
